1. SCOPE OF APPLICATION
1.1 The sale of products through the Website (the “Products”) constitutes a distance contract governed by Chapter I, Title III (Articles 45 et seq.) of Italian Legislative Decree No. 206 of 6 September 2005 (the Consumer Code) and Italian Legislative Decree No. 70 of 9 April 2003, governing electronic commerce.
1.2 These General Terms and Conditions of Sale may be amended at any time by Villa Della Torre Wine Shop. Any amendments and/or new conditions shall take effect upon their publication on the Website. Users are therefore encouraged to visit the Website regularly and consult the most up-to-date version of the General Terms and Conditions of Sale before making any purchase. The applicable General Terms and Conditions of Sale shall be those in force on the date the purchase order is submitted.
1.3 These conditions govern purchases made from the Seller through the Website. Any purchases concluded with third parties through external links shall be governed by the terms and conditions of those third parties. The Seller shall remain responsible for its own activities and for fulfilling its statutory obligations.
2. PURCHASES ON THE WEBSITE
2.1 The sale of alcoholic beverages through the Website is restricted to persons aged 18 or over. For international shipments, any stricter age requirements established by the applicable legislation in the destination country must also be complied with. Customers must provide truthful information regarding their age, without prejudice to the Seller's statutory age-verification obligations.
2.2 Before the contract is concluded, Villa Della Torre Wine Shop may refuse an order on objective grounds, such as non-payment, inaccurate or incomplete essential information preventing the order from being processed, failure to meet applicable age requirements, or concrete circumstances giving reasonable grounds to suspect fraud or unauthorised use of a payment method. Where possible, customers shall be invited to correct or complete the necessary information before an order is refused. Any refusal shall be communicated promptly, and any amounts already collected shall be refunded without undue delay. Once the contract has been concluded, termination may occur only in the circumstances and in accordance with the procedures provided for by law, without prejudice to consumer rights.
2.3 If an error is identified in the information relating to a Product or in the purchasing process, the Seller shall promptly inform the customer. Any changes to the Product, vintage, format or price require the customer's express consent. The handling of errors shall not prejudice any rights arising from a contract already concluded. In the event of unavailability, Article 6 shall apply.
3. INFORMATION RELATING TO THE CONCLUSION OF THE CONTRACT
3.1 To make a purchase, customers select the Products, add them to their basket and complete the checkout process on the Website by entering the required information and choosing one of the available payment methods. Before submitting the order, customers may review and correct their order details. The order is submitted by clicking a button that clearly indicates the obligation to pay.
3.2 Before the order is submitted, the selected Products and their essential characteristics, the total price, applicable taxes, delivery charges and any additional costs are displayed. Customers may consult these terms and the information concerning delivery, the right of withdrawal and warranties.
3.3 Submission of an order constitutes an offer to purchase by the customer. The contract is concluded when the customer receives an email in which the Seller accepts the order. Any communication merely acknowledging receipt of the order, expressly identified as such, shall not constitute acceptance.
3.4 The Seller shall provide confirmation of the contract on a durable medium, by email, within a reasonable period after its conclusion and, in any event, no later than the time of delivery. The confirmation shall include a summary of the purchase and, either in the body of the email or as an attachment, the applicable terms and mandatory information, including instructions and the standard withdrawal form, unless these have already been provided on a durable medium.
3.5 The order shall be retained by the Seller for the period necessary to manage the contractual relationship and fulfil legal obligations. Customers may retain the confirmation received by email and request a copy from Customer Service, as indicated in Article 12.
4. VALIDITY OF OFFERS AND PRICES
4.1 Prices are expressed in the currency indicated on the Website and at checkout. For sales to consumers, prices include applicable taxes. Shipping charges and any other costs payable by the customer are indicated before the order is submitted. For destinations outside the European Union, any customs duties, import taxes and customs clearance charges not included in the price and payable by the recipient shall be specified before purchase. Where such charges cannot reasonably be calculated in advance, customers shall be informed of their possible application and, where available, the method used to calculate them. For further information on shipping, please refer to the “Shipping, Returns and Customer Support” page.
4.2 Product prices may be changed by Villa Della Torre Wine Shop at any time without prior notice. However, the price charged to the customer shall be the price displayed on the Product information page (product description) at the time the order is submitted. Any subsequent price changes, whether increases or decreases, shall not be taken into account.
4.3 Products may be offered at discounted prices on the Website. In announcements of price reductions, the previous price indicated as a reference shall correspond to the lowest price applied on the Website to consumers generally during the thirty days preceding the reduction, subject to the exceptions provided for under Article 17-bis of the Consumer Code. Any discount percentage shall be calculated on the basis of that price.
5. PURCHASE ORDERS AND PRODUCT INFORMATION
5.1 The Seller shall arrange shipment once successful payment has been confirmed, in accordance with the payment methods indicated at checkout. If payment is unsuccessful, the customer shall be informed. Any refusal of an order or termination of a contract already concluded shall be handled in accordance with Article 2.2 and applicable legislation.
5.2 The Products shall remain the property of the Seller until the full amount due has been paid. The transfer of the risk of loss or damage to the consumer shall be governed by Article 7.2.
5.3 Each Product is accompanied by a description. The vintage, format, quantity and other essential characteristics shall be those selected and summarised in the order. Images are for illustrative purposes only; any differences in graphical presentation shall not affect the Product's conformity with the agreed characteristics. No substitutions of vintage, format or Product shall be made without the customer's express consent.
5.4 Allergen information, including sulphites where present in quantities requiring declaration, is provided on the individual Product page in accordance with applicable legislation. The expression “no added sulphites”, where used, does not necessarily mean that the Product is free from sulphites.
5.5 Gift vouchers, where available, are subject to the specific terms communicated before purchase. Their purchase shall not count towards any minimum order value required to qualify for free shipping of Products.
6. PRODUCT AVAILABILITY
6.1 Products offered on the Website are available in limited quantities. Consequently, including where several users purchase the same Product simultaneously, a Product ordered may become unavailable after the purchase order has been submitted.
6.2 If an ordered Product is unavailable, Villa Della Torre Wine Shop shall promptly inform the customer by email or telephone. If the Product cannot be supplied and the unavailability affects the entire order, all amounts paid for the order, including any delivery charges, shall be refunded without undue delay. An alternative Product or a new delivery date may be agreed only with the customer's express consent. The customer shall remain free to reject the proposal and obtain the refund due. In cases of partial unavailability, Article 6.3 shall apply.
6.3 Where an order contains several Products and only some of them are unavailable, Villa Della Torre Wine Shop shall promptly inform the customer and refund, without undue delay, the amounts relating to the unavailable Products, including any delivery charges attributable to them. Partial unavailability shall not result in an increase in the delivery charges already agreed for the remaining Products.
This is without prejudice to circumstances in which the customer is entitled to terminate the entire contract, particularly where it would not be reasonable to require the customer to accept only the available Products, taking into account the characteristics and purpose of the purchase. In such cases, all amounts paid, including delivery charges, shall be refunded.
Refunds shall be made using the same payment method used for the original purchase, unless otherwise expressly agreed with the customer, at no additional cost. Store credit or vouchers shall not be imposed in place of a refund.
7. PRODUCT DELIVERY AND RIGHT OF WITHDRAWAL
7.1 Shipments are made within Italy and internationally, to destinations available at checkout, through BMI and IWS. Delivery charges are indicated separately before the order is submitted. Estimated delivery times vary according to the destination and the service provided by the appointed carrier and are communicated before purchase, including through the “Shipping, Returns and Customer Support” page. Unless a different delivery period has been agreed, delivery shall take place without undue delay and, in any event, within thirty days of the conclusion of the contract. The Seller's obligations towards the consumer shall remain unaffected.
7.2 Delivery shall be deemed completed when the customer, or a third party designated by the customer other than the carrier, acquires physical possession of the Products. Subject to the exception provided for under Article 63(2) of the Consumer Code, the risk of loss of or damage to the Products shall remain with the Seller until that moment.
Upon delivery, customers are advised to check the number of packages and the integrity of the packaging. In the event of damage, tampering or missing packages, customers are encouraged to describe the irregularity on the delivery document, signing with a specific reservation, and to contact Customer Service promptly, attaching photographs of the packaging and Products where available.
Failure to sign with a reservation or to provide photographs shall not automatically result in the loss of the consumer's rights against the Seller. The right of withdrawal, the legal guarantee of conformity and all other remedies provided for by law shall remain unaffected.
7.3 Article 61 of the Consumer Code shall apply where a purchased Product is not delivered or is delivered later than the delivery period indicated during the purchasing process and in the order confirmation.
7.4 Consumers may exercise their right of withdrawal within fourteen days of delivery, subject to the exceptions provided for by law. Where multiple goods are ordered in a single order and delivered separately, the withdrawal period shall begin on the date of delivery of the last item.
Full instructions, return procedures, return shipping costs, refund rules and the standard withdrawal form are available on the “Shipping, Returns and Customer Support” page.
Withdrawal may be communicated by sending an explicit statement to wineshop@marilisa-allegrini.com, without requiring prior authorisation. The mere purchase of wine does not constitute a general exclusion from the right of withdrawal.
8. PAYMENT METHODS
8.1 Payment may be made using the methods available and indicated at the beginning of the purchasing process. The payment options actually available for each order are displayed at checkout.
8.2 Credit and debit card payments are processed by payment service providers through their respective secure infrastructures. The Seller neither receives nor stores the full card number or its security code. The Seller may receive limited transaction data necessary to manage the order, payment and any refunds, as described in the Privacy Policy.
9. MISCELLANEOUS
9.1 Customers wishing to receive an invoice must request one when placing their order, providing the necessary tax details and checking their accuracy. The invoice shall be issued in accordance with applicable tax legislation. Any errors in the information provided must be promptly reported to Customer Service.
9.2 The contents of the Website, including texts, photographs, logos and other graphic elements, belong to Marilisa Allegrini S.r.l. or their respective rights holders and are protected by intellectual property legislation. Their reproduction, distribution or use is permitted only with the prior authorisation of the relevant rights holder, without prejudice to uses permitted by law.
9.3 Villa Della Torre Wine Shop shall be responsible for fulfilling its contractual obligations in accordance with applicable legislation. In the event of delay, non-delivery, damage or lack of conformity of the Products, customers may contact Customer Service for assistance and to exercise the remedies provided for by law.
The use of couriers or other logistics providers for shipping shall not limit the consumer's rights against the Seller. Mandatory provisions concerning liability, the legal guarantee of conformity and consumer protection shall remain applicable.
9.4 Villa Della Torre Wine Shop may update these General Terms and Conditions of Sale. Any amendments shall apply exclusively to orders placed after their publication on the Website. Each order shall be governed by the version of the terms in force at the time of its submission, which shall remain applicable to the relevant contractual relationship. Subsequent amendments shall not affect orders already placed.
10. LEGAL GUARANTEE OF CONFORMITY
10.1 Products purchased by customers qualifying as consumers are covered by the legal guarantee of conformity provided for under Articles 128 et seq. of Italian Legislative Decree No. 206/2005 (the Consumer Code). A consumer is a natural person who makes a purchase for purposes unrelated to their business, commercial, craft or professional activities.
10.2 The Seller shall be liable for any lack of conformity existing at the time of delivery that becomes apparent within two years of delivery. The right to bring an action in respect of defects not fraudulently concealed by the Seller shall become time-barred twenty-six months after delivery. Unless proven otherwise, defects that become apparent within one year of delivery shall be presumed to have existed at that time, unless such a presumption is incompatible with the nature of the goods or the defect.
10.3 The conformity of wines shall be assessed taking into account the characteristics of the Product, the description provided, its natural evolution and the indicated storage conditions. The guarantee does not cover alterations caused by improper storage or use after delivery. The natural evolution of wine does not, in itself, exclude protection against a lack of conformity.
10.4 In the event of a lack of conformity, consumers are entitled to have conformity restored free of charge through repair or replacement, within the limits and under the conditions established by law. For wines, replacement is normally the practicable remedy.
In the circumstances provided for by law, consumers may obtain a proportionate price reduction or termination of the contract. Termination is excluded where the defect is minor; the burden of proving that the defect is minor rests with the Seller. Store credit or vouchers shall not be imposed in place of refunds due.
10.5 To request assistance, customers may contact Customer Service using the details provided in Article 12, describing the problem and supplying information useful for identifying the purchase.
Where possible, customers are encouraged to retain the bottle, cork and any remaining contents to allow the necessary checks to be carried out. The Seller shall communicate the arrangements for any collection, and the costs necessary to provide remedies under the guarantee shall be borne by the Seller.
10.6 Purchases made by persons who do not qualify as consumers shall be subject to the warranties provided for under the Italian Civil Code, including the applicable terms and conditions.
11. APPLICABLE LAW AND JURISDICTION
11.1 These General Terms and Conditions of Sale and contracts concluded through the Website shall be governed by Italian law. For consumers habitually resident in another country, this choice of law shall not prejudice the protection afforded by the mandatory provisions of the law that would have applied in the absence of such a choice, in the circumstances provided for under Article 6 of Regulation (EC) No. 593/2008.
11.2 For disputes involving consumers resident or domiciled in Italy, jurisdiction shall lie with the court of the consumer's place of residence or domicile, in accordance with applicable mandatory provisions.
11.3 For cross-border disputes, the applicable rules on jurisdiction and consumer protection shall remain in force, including, where applicable, Regulation (EU) No. 1215/2012. For purchases made by persons who do not qualify as consumers, jurisdiction shall be determined in accordance with the ordinary rules of law.
12. CUSTOMER SERVICE AND COMPLAINTS
12.1 Customers may request information, send communications, seek assistance or submit complaints by contacting Customer Service through the following channels:
Telephone: +39 045 450 0900 (Monday to Saturday: 10:00 am – 5:00 pm)
Email: wineshop@marilisa-allegrini.com
12.2 Villa Della Torre Wine Shop shall respond promptly to complaints received and, in any event, within five working days of receipt.
